Trading foreign exchange, contracts for difference and other leveraged products involves substantial risk. Please read this disclosure carefully before using Midnight Range software.

1. General warning

Forex and CFD trading are speculative activities that carry a significant risk of financial loss. These products may not be suitable for every investor or trader.

You should not trade with money that you cannot afford to lose. Before trading, consider your financial circumstances, objectives, knowledge and tolerance for risk.

2. Leveraged trading

Forex and CFD positions are commonly traded using leverage. Leverage allows a relatively small amount of capital to control a much larger market position.

Although leverage can increase potential gains, it can also magnify losses. Even a small market movement may result in a substantial change in account equity, a margin call or the automatic closure of open positions.

3. You may lose your trading capital

Trading losses may occur quickly and may include all funds deposited in your trading account.

Depending on your broker, account classification, jurisdiction and contractual terms, additional losses or liabilities may also be possible. You should review the protections and conditions provided by your broker before trading.

4. Algorithmic trading risk

Midnight Range software uses predefined algorithmic rules to analyse markets and may open, manage or close trades automatically.

Automated execution does not remove trading risk. An algorithm may produce losing trades, encounter market conditions for which it was not designed or behave differently from historical tests.

The software cannot predict future market movements and is not guaranteed to identify profitable trading opportunities.

5. Past performance and backtesting

Past performance is not a reliable indicator of future results. Historical returns, account statements, performance summaries and previous trading outcomes do not guarantee similar performance in the future.

Backtests and simulations are hypothetical. They are produced using historical data and assumptions that may not fully represent live market conditions.

Simulated results may not accurately account for liquidity, slippage, spread changes, execution delays, rejected orders, commissions, financing costs or the psychological effects of trading real funds.

6. No guaranteed returns

Midnight Range does not guarantee profits, income, returns, account growth, drawdown limits or protection against losses.

Any targets, examples, projections or performance figures shown on our website or in member materials are illustrative only and must not be interpreted as promises of future performance.

7. Market conditions

Financial markets can become highly volatile, illiquid or disorderly, particularly during news events, market openings, economic announcements, political developments and unexpected global events.

During these periods, prices may move rapidly or gap between levels. Orders may be executed at a different price from the one requested, executed only partially, delayed or rejected.

8. Spread and slippage risk

Trading results can be affected by spreads, commissions, swaps, slippage and other broker charges.

Spreads may widen significantly during periods of low liquidity or high volatility. Stop-loss orders are not guaranteed to execute at the requested price and therefore cannot eliminate the risk of loss.

9. Broker and counterparty risk

Midnight Range does not operate your brokerage account, hold client funds, execute trades or control broker pricing.

Your trading activity depends on third-party brokers and their systems, financial stability, regulation, execution policies, liquidity providers and account terms.

Broker insolvency, platform failures, pricing errors, withdrawal restrictions or other counterparty issues may result in financial loss or disruption.

10. Technology risk

Algorithmic trading relies on technology that may fail or become unavailable. Risks include:

  • Internet or network interruptions.
  • Computer, server or virtual private server failures.
  • Power outages and operating-system errors.
  • MetaTrader 5 crashes or updates.
  • Broker-server outages or delayed price feeds.
  • Corrupted files or incomplete software installations.
  • Incorrect account, chart or software configuration.
  • Licence-server or authentication interruptions.

These events may prevent the software from opening, managing or closing positions as intended.

11. User configuration risk

Trading outcomes may be significantly affected by settings chosen by the user, including lot size, risk percentage, stop-loss parameters, trading hours, enabled symbols and the number of simultaneous positions.

Incorrect settings, excessive risk, unsupported modifications or use on an unsuitable account may increase losses or cause the software to operate differently from its intended configuration.

12. Account and broker differences

Results can vary between users even when the same software and settings are used.

Differences may arise because of broker pricing, symbol names, spreads, commissions, execution speed, leverage, liquidity, server time, account type, contract specifications and available margin.

13. News and overnight risk

Positions held during major announcements, outside normal trading hours, over weekends or across market closures may be exposed to sudden price gaps and reduced liquidity.

A stop-loss order may not limit a loss to the amount expected where the market moves through the requested execution price.

14. Demo accounts

Demo-account performance may differ materially from live-account performance.

Demo environments may simulate fills, liquidity and execution and may not reproduce the delays, slippage, costs, emotions or other conditions experienced when trading real funds.

15. No personal financial advice

Midnight Range provides software and general educational information only. We do not provide personalised investment, financial, tax, legal or brokerage advice.

Nothing on our website, within the software, in support messages or in member resources constitutes a recommendation to enter, maintain or close any particular trade.

16. Your responsibility

You are solely responsible for deciding whether algorithmic trading is appropriate for you and for selecting your broker, trading account, capital allocation, software settings and level of risk.

You are also responsible for monitoring your account and the operation of the software. Automated systems should not be assumed to operate correctly without supervision.

17. Risk management

Risk-management features may help control exposure but cannot remove risk or guarantee that a maximum loss will not be exceeded.

Consider beginning on a demo account, using conservative settings and monitoring performance before committing significant capital. Independent professional advice should be obtained where appropriate.

18. Regulatory status

Purchasing Midnight Range software does not create a managed account, investment-management relationship, brokerage relationship or advisory relationship.

Midnight Range does not take custody of your trading funds or execute transactions as your broker. You enter into trading arrangements separately with the broker you select.

19. Changes to the software

Software updates, broker changes, MetaTrader updates and changing market conditions may affect how an algorithm performs.

A strategy that operated in one market environment may perform differently or become unsuitable when volatility, liquidity, correlations or market behaviour change.

20. Acceptance of risk

By purchasing, installing or using Midnight Range software, you confirm that you understand the speculative nature of leveraged trading and accept the possibility of substantial financial loss.

You remain responsible for all trading activity conducted through your brokerage account, including activity initiated or managed by the software.
